Queenswood Gardens Ltd ("QGL") owns the freehold and is "the
lessor" in the lease. QGL was set up in 2002 to purchase the freehold,
and was funded by 116 lessees, who became Founder shareholders. In
return, they were granted 900-year lease extensions. Since 2002, as
other lessees have purchased 90-year lease extensions, they have become
ordinary shareholders. There are currently twenty ordinary
shareholders. The company is run by its board of directors, who are elected at annual general meetings and
are all unpaid, carrying out their activities in their own time. The
current directors are Nichola Barham, Matt Felton, Griff Griffith, Bob Haswell, Jade Huang, Deborah Kelly and Rob Kemp. The directors are committed to following best practice and accordingly have adopted the Institute of Directors' Code of Professional Conduct as their guiding document.
As the lessor, one of QGL's roles is to give approval for any internal structural changes a lessee might wish to make, or for replacement windows. Before giving approval, QGL will check that any planned work meets its minimum requirements — if it doesn't, the lessee will be given advice on how the plan should be changed.
QGL also has responsibility for ensuring that lessees meet the terms of the lease, particularly when required to do so by an individual lessee. As the company has limited resources, it has a formal agreement with Queenswood Management Association Ltd ("QMAL") under which QMAL can take action in QGL's name if necessary.
